Terms of Service

1. Introduction

Welcome to MixTranslate ("MixTranslate", "we", "us", or "our"). These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "user") and MixTranslate governing your access to and use of our AI-powered translation website, applications, APIs, and related services (collectively, the "Services").

By creating an account, clicking "I agree", or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. User Accounts

When you create an account with us, you must provide accurate, current, and complete information and keep it updated. You are responsible for:

• Safeguarding your account credentials and API keys
• All activities that occur under your account
• Promptly notifying us of any unauthorized use or security breach

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being misused.

4. Subscriptions, Billing, and Payment

Certain features of the Services require a paid subscription or usage-based plan.

• Billing cycle: Subscriptions are billed in advance on a recurring basis (monthly or annually), unless otherwise specified at checkout.
• Automatic renewal: Your subscription renews automatically at the end of each billing cycle until cancelled.
• Taxes: Fees exclude applicable taxes, which may be added at checkout or collected by our payment processor.
• Payment processing: Payments are handled by third-party processors (e.g., Stripe). By providing payment information, you authorize us and our processors to charge the applicable fees.
• Failed payments: If a payment fails, we may suspend paid features until payment is successfully received.

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features until then.

5. Refund Policy

We want you to be satisfied with MixTranslate. Our refund policy is as follows:

• 7-day money-back guarantee: For first-time paid subscriptions, you may request a full refund within seven (7) days of your initial purchase, provided that you have not substantially consumed the credits, quota, or AI-generated output associated with your plan (as determined by us in good faith).
• Renewal charges: Automatic renewal fees are generally non-refundable. However, if you contact us within seven (7) days of a renewal charge and have not materially used the Services during that renewal period, we may, at our sole discretion, grant a pro-rated or full refund.
• Usage-based credits and add-ons: Prepaid credits, on-demand usage fees, one-time add-ons, and enterprise or custom plans are non-refundable once consumed or activated, except where required by applicable law.
• Service outages: If a confirmed service outage materially prevents you from using the Services for an extended period, we may offer service credits or a partial refund at our discretion.
• How to request: To request a refund, contact us from the email address associated with your account and include your order or invoice number.
• Chargebacks: Please contact us before initiating a chargeback with your bank or card issuer. Chargebacks filed without first contacting us may result in immediate account suspension.

Refunds, when granted, are returned via the original payment method and may take several business days to appear on your statement.

6. Models Availability

MixTranslate integrates multiple third-party and proprietary large language models and machine translation models (collectively, "Models") to deliver translation and related AI features.

• Availability is not guaranteed: Models may be temporarily or permanently unavailable due to upstream provider outages, rate limits, regional restrictions, regulatory requirements, capacity constraints, or other factors beyond our reasonable control. We do not guarantee uptime, latency, throughput, or continuous availability of any specific Model.
• Model versions may change: We update, upgrade, replace, deprecate, or remove specific Model versions from time to time, without prior notice, in order to improve quality, cost, safety, compliance, or performance. The underlying Model serving a given feature (including "auto" or named options) may therefore change between requests.
• No equivalence between versions: Outputs from different Models or Model versions may differ, even for identical inputs. We do not warrant that any new Model will produce results equivalent to a prior version.
• Third-party terms: Your use of certain Models may be subject to additional terms, acceptable use policies, or usage restrictions imposed by the underlying Model providers. You are responsible for complying with those terms when your content is processed by such Models.
• Feature changes: We may modify, limit, or discontinue any feature, Model, language pair, or plan at any time. Where reasonably practicable, we will provide notice of material changes.

7. Generative AI Disclaimer

MixTranslate uses generative AI and machine translation technologies. You acknowledge and agree that:

• Outputs may be inaccurate: AI-generated translations and other outputs may be incorrect, incomplete, outdated, biased, offensive, or otherwise misleading. They may contain factual errors, mistranslations, hallucinations, or culturally inappropriate content.
• No professional advice: Outputs are provided for general informational purposes only and do not constitute legal, medical, financial, regulatory, or other professional advice. Do not rely on outputs for decisions that could have significant legal, financial, health, safety, or reputational consequences without independent verification by a qualified human professional.
• High-stakes use cases: The Services are not designed or certified for use in high-risk or life-critical contexts (for example, medical diagnosis, legally binding contracts, immigration filings, emergency response, operation of safety-critical systems, or regulated industries). You must not use the Services in such contexts without your own appropriate review processes and safeguards.
• Human review recommended: You are solely responsible for reviewing, editing, fact-checking, and validating any AI-generated output before relying on it, publishing it, or sharing it with others.
• Non-deterministic: Identical or similar inputs may produce different outputs across requests, Models, or Model versions.
• No guarantee of confidentiality of outputs: Similar outputs may be generated for other users. AI outputs are not considered unique to you.

To the maximum extent permitted by law, we disclaim all liability arising from your reliance on any AI-generated output.

8. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law, regulation, or third-party right
• Engage in any conduct that restricts, inhibits, or degrades other users' ability to use the Services
• Attempt to gain unauthorized access to our servers, infrastructure, accounts, or networks
• Upload, submit, or transmit malware, viruses, or other harmful code
• Use the Services to generate content that is unlawful, infringing, defamatory, harassing, hateful, sexually exploitative (especially involving minors), or that facilitates violence or illegal activity
• Reverse engineer, scrape, or attempt to extract the underlying Models, prompts, or system instructions
• Use the Services to train competing models or to build a competing product
• Circumvent rate limits, quotas, usage-based billing, or access controls
• Misrepresent AI-generated content as human-generated in contexts where such representation would be deceptive or unlawful

We may review submitted content for abuse, safety, and compliance purposes, using automated and/or human review.

9. User Content

You retain all rights you have in the text and other materials you submit to the Services ("User Content"). By submitting User Content, you grant MixTranslate a worldwide, non-exclusive, royalty-free license to host, process, transmit, translate, display, and otherwise use your User Content solely to operate, provide, secure, and improve the Services (including routing your content to the appropriate Models and, where you have opted in, using de-identified or aggregated data to improve our Services). MixTranslate doesn't retain or use your data to train AI models.

You represent and warrant that you have all necessary rights to submit your User Content and that doing so does not violate any law or third-party right.

10. Ownership of Outputs

Subject to your compliance with these Terms and any applicable third-party Model terms, and to the extent permitted by law, we assign to you all rights we may have in the translation outputs generated for you ("Outputs"). You acknowledge that:

• Due to the nature of AI, similar Outputs may be generated for other users, and we make no guarantee of exclusivity.
• Outputs may not be eligible for copyright protection in some jurisdictions.
• You are responsible for ensuring your use of Outputs complies with applicable law and with any third-party Model terms.

11. Intellectual Property

The Services, including our website, software, design, logos, documentation, and all original content (excluding User Content and Outputs), are owned by MixTranslate or our licensors and are protected by copyright, trademark, and other intellectual property laws. No rights are granted to you other than as expressly set out in these Terms.

12. Third-Party Services

The Services may rely on or integrate with third-party services, including Model providers, payment processors, analytics providers, and infrastructure providers. We are not responsible for the content, policies, or practices of third-party services, and your use of them may be subject to separate terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, created legal or security risk for MixTranslate or other users, or for extended periods of non-payment. You may terminate your account at any time through your account settings or by contacting us.

Upon termination, your right to use the Services will immediately cease. Sections intended by their nature to survive termination (including Sections 5, 7, 10, 11, 14, 15, 16, and 17) will survive.

14. Disclaimers

THE SERVICES, INCLUDING ALL MODELS AND OUTPUTS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT TRANSLATIONS OR OTHER OUTPUTS WILL BE ACCURATE, COMPLETE, UP-TO-DATE, SUITABLE FOR YOUR PURPOSE, OR FREE FROM OBJECTIONABLE CONTENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MIXTRANSLATE, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (US$100).

16. Indemnification

You agree to indemnify, defend, and hold harmless MixTranslate and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Services; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.

17. Governing Law and Disputes

These Terms are governed by the laws applicable at the place of our principal business, without regard to its conflict of laws rules. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, such disputes shall be submitted to the competent courts at the place of our principal business, unless applicable mandatory law provides otherwise.

18. Changes to Terms

We may modify these Terms from time to time to reflect changes in our Services, applicable law, or business practices. When we make material changes, we will update the "date" at the top of this page and, where appropriate, provide additional notice (such as by email or in-product notification). Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.
